1. OWNERSHIP, PROHIBITIONS

You must neither use the Web site in any manner that could damage, disable, overburden, or impair the Web site, nor interfere with any other party’s rightful use of the Web site. Guillemot thanks Guillemot Corporation S.A. (the mother company of Guillemot) for providing a variety of resources, including documents, graphics, information, images, photos, product information, software, texts (collectively “Materials”) and services (if any).

This Web site is protected by the Copyright Law of the People’s Republic of China, the Patent Law of the People’s Republic of China, and other laws and regulations relating to intellectual property rights. All intellectual property rights , technology, trademarks, materials, and other elements used on this Web site are owned and held by Guillemot Corporation S.A. or its relevant licensors. “Intellectual property rights” include but not limited to trademarks, brand names, logos, works and all rights interests provided for under laws such as patent law, copyright law, trademark law, and anti-unfair competition law, as well as any and all applications, updates, extensions, and restorations thereof.

Guillemot and Guillemot Corporation S.A. grants an exceptional, specific, and limited authorization, that is revocable and nontransferable, to perform web crawling, indexing, and serving web search results whose scope includes the Web site –i.e. only to download the Materials amongst texts, images, and videos files from web pages which are found on the internet by automated programs or bots called web crawlers, to analyze these files for indexing, to store the analysis results in a web search index, and to serve relevant search results when a natural person searches on the web search engine i.e. to return one or more results that are relevant to the natural person’s query– only to organizations that (1) are indexing such information regarding hundreds of millions of web pages, (2) ensure that all copyright, trade mark and other proprietary notices are left intact, (3) provide at all times free access and use of the web search engine to researchers, historians, and the general public, (4) provides access to the downloaded Materials only to natural persons, (5) will never neither use the Materials to train or otherwise feed any artificial intelligence engines, nor permit any third party to do so (these five conditions are cumulative), and (6) undertake, if the aforementioned authorization is revoked by Guillemot or Guillemot Corporation S.A., to immediately cease the relevant activities and delete all Materials obtained upon receipt of a notice to do so.

Guillemot and Guillemot Corporation S.A. grant an exceptional, specific, and limited authorization, that is revocable and nontransferable, to archive digital time capsule(s) of the Web site –i.e. to store documents and resources with time stamp URLs of the web pages of the Web site– only to non-profit organizations that (1) are building a digital library of hundreds of millions of web pages, (2) ensure that all copyright, trade mark and other proprietary notices are left intact, (3) provide at all times free access to researchers, historians, and the general public, and (4) provides access to the stored web pages only to natural persons, (5) will never neither use the Materials to train or otherwise feed any artificial intelligence engines, nor permit any third party to do so (these five conditions are cumulative), (6) undertake, if the aforementioned authorization is revoked by Guillemot or Guillemot Corporation S.A., to immediately cease the relevant activities and delete all materials obtained upon receipt of a notice to do so.

Except as expressly provided herein, neither Guillemot nor Guillemot Corporation S.A. grants any express or implied right to you under any patent, copyright, trademark or trade secret information with respect to the Materials or services (if any).

In addition, you will not use (other than to the extent permitted by applicable law) any software, and data accompanying the software (collectively, the “Software”) or other materials (of whatever nature), contained or capable of being downloaded from the Web site, to develop, design, produce, manufacture, sell and/or distribute any product of whatever nature nor will you permit any third party to do any of the above.

Except as expressly provided herein, you must not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Materials, products (if any), or services (if any) obtained from the Web site.

11. LINKING, FRAMING AND MIRRORING THE WEB SITE

Guillemot reserves the right to cancel and revoke any permission it may give to link to the Web site at any time, for any reason, without any prior notice, and without any liability to you or any other person. If any provision of the TAC is held invalid due to conflict with the current laws of the People’s Republic of China, such invalidity shall not affect the validity of the remaining provisions. The parties agree that any dispute shall be resolved on the basis of the latest version of the TAC agreed to by you.

To the fullest extent permitted by applicable law, Guillemot, Guillemot Corporation S.A., and Guillemot Corporation S.A.,’s affiliated companies exclude all representations and warranties that any products, Materials, in and/or facilities or services published on this Web site is available for use in other locations, or that they comply with any legal or regulatory requirements of the country, municipality, province, or region where you reside; those who choose to use this Web site do so at their own risk and on their own initiative and are responsible for compliance with applicable local laws.

For any dispute arising from or in connection with the TAC, the parties shall first attempt to resolve the dispute through amicable consultations. If no resolution is reached, either party shall have the right to file a lawsuit in the people’s court with jurisdiction at the defendant’s domicile.

For the avoidance of doubt, unless otherwise agreed in writing to the contrary, the validity of this governing law and jurisdiction clause shall extend to the TAC, including any amendments, supplements, and updates thereto.

You agree that all agreements (including, but not limited to, these TAC), notices, disclosures, publications, and other communications (including, but not limited to, a pop-up or a pop-in on the Web site), that Guillemot may provide to you electronically satisfy any legal requirement that such communication be in writing.

You acknowledge and accept the validity and probative value of the click (click activating the check boxes or buttons of the Web site).

Under reasonable security conditions, computerized records stored in Guillemot’s computer system shall serve as prima facie evidence of the relevant facts in the absence of sufficient contrary evidence to rebut them (for example, to prove the use of the Web site and therefore acceptance of these TAC, the acceptance of additional terms and conditions (if any), and the knowledge or awareness of information). Unless there is a manifest error, the data stored for Guillemot in computer systems have probative force regarding the site-user’s actions carried out via the Web site.

These TAC inure to the benefit of the parties. Your rights and obligations under these TAC and in using the Web site are not assignable. We have the right to assign our rights and obligations under these TAC.

Guillemot has the right to amend the TAC based on changes in national laws and regulations, regulatory policies, and industry standards, as well as the rapid development of the internet and the needs of service operations (such as changes in technical conditions, product features, etc.) and shall publish the amended TAC.

Guillemot reserves the right to amend this TAC in accordance with laws, regulations, policies and business needs, and shall publish the amended content. After the amended content takes effect, if you do not stop using the Web site and clear relevant cache and browsing data within 5 days, you shall be deemed to have read, understood and agreed to the amendments. If you do not agree with the amended content, you shall immediately cease use and delete all relevant data.
